DIGITAL LIBRARY REGISTRATION AGREEMENT
Thank you for visiting the Celebrity Cruises® Digital Library web site.  The Digitial Library is an online tool that allows users to download Celebrity Cruises assets for the purpose of promoting Celebrity Cruises cruise services.  The Digital Library site and services provided therein (the “Services”) are provided by Celebrity Cruises Inc. (the “Company”).
PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE. 
A.	ACCEPTANCE OF TERMS OF USE
This Digital Library Registration Agreement (“Agreement”) incorporates by reference other agreement provisions applicable to the use of www.celebrityimagelibrary.com (“Website”), including but not limited to the Terms and Conditions of Use (link located at the bottom of the home page) and the Celebrity Cruises Privacy Policy (link located at the bottom of the home page).  This Agreement governs your access and use of the Services, including but not limited to, the downloading and use of assets, images, videos, photographs, illustrations and/or any other media or content from the Website (collectively, “Assets”) except to the extent stated otherwise on a specific page or agreement as provided the Company.
By using and/or registering to use the Services, you signify your assent to the terms of this Agreement, all applicable laws and regulations (including export and re-export control laws), and agree that you are responsible for compliance with any applicable local laws. If you do not agree to the terms of this Agreement, you should not access this Website or the Services in any form.  We reserve the right, in our sole discretion, to change, modify, delete, or otherwise alter portions of these terms at any time. Any such change, modification, deletion, or alteration shall be effective immediately upon posting the same on the Website or on a Company website. Please check these terms periodically for changes. Your continued use of the Website or Services following the posting of such changes means you accept those changes.
If the Company determines, in its sole discretion, that you have violated this Agreement, the Company may terminate your registration and/or prohibit you from using or accessing the Services or the Web Site for any reason with and/or without notice and reserves the right to pursue any other remedy.

The Company shall have the right at any time to change or discontinue any Service or aspect of the Website, including, but not limited to, layout, accessibility, content, availability, and software or equipment needed for access or use.
B.	USER ACCOUNT
Use of the Services is limited to individuals 18 years of age or older who create a User account.  Companies, businesses, commercial entities and organizations may not register for membership and may not use the Services or Web Site for any purpose.  To create an account, you agree to submit complete and accurate information about yourself as requested in the registration form (collectively, “Account Information”). You agree and represent that all Account Information provided by you is accurate and up-to-date.  If any of your Account Information changes, you agree to update it by editing your account information. 
You may inactivate your account at any time for any reason by emailing the Help Desk at callcenter@corbis.com or calling (866) 436-6846.  The Company may terminate your account at any time and for any reason in its sole discretion with or without notice.  Certain sections of this Agreement will survive despite the termination.
You are responsible for protecting the confidentiality of your username and password. You agree to be solely responsible for all usage or activity on your account including, but not limited to, use of the account by any person who uses your Registration Information, with or without authorization. You may not authorize others to use your Account Information to access the Service.  You may not sub-license, transfer, sell, or assign your Account Information and/or this Agreement to any third party without our prior written approval. Any attempt to do so will be null and void and shall be considered a material breach of this Agreement.

C.	ASSET USAGE RULES
The materials available on this Website are protected by the copyright, trademark, and other laws of the United States and other countries.  Except for the limited purposes which Celebrity Cruises Inc., or its subsidiaries and affiliates may have expressly approved in writing to you or except as provided by applicable law, these materials may not be reproduced, distributed, transmitted, displayed or modified in any form by any means.  
1. Before downloading and using an Asset, you must agree to the terms of the applicable Asset Detail and Asset Agreement.  
2. You agree that you will use Assets in strict conformance with the applicable Asset Detail and Asset Agreement, including but not limited to the Asset expiration date, and Brand Identity Guidelines of Celebrity Cruises. 
3. Use of an Asset after its expiration date is strictly prohibited.  You are solely responsible for any use of an Asset after it expires, including but not limited to paying any fees or residuals due to the talent, photographer, videographer and/or owner of the Asset and its components. The Company is not responsible in any manner whatsoever for your use of an Asset after the expiration date. 
4. You may not use any Asset to imply that the Company has sponsored, endorsed or is affiliated with your company, internet site or any third party without obtaining the prior written permission of the Company. 
5. You may not alter or modify the Asset in any way, including but not limited to, altering the proportions, colors, voiceovers, text, or animating or morphing the Assets, or otherwise changing the Asset’s appearance in any way.
6. You may not use the Asset, which, in the Company's sole discretion, disparages the Company or its affiliates or respective products or services. 
7. The Company may, in its sole discretion, terminate your right to use these Assets at any time. The Company may take action against any use of the asset that does not conform to these policies or that infringes any right held by the Company and will actively seek the recovery of any costs it may incur preventing any such misuse or damages that may result from such misuse. 
8. The Company reserves the right to contact you at anytime to verify the proper usage of any and all assets. 
IV.	GENERAL
1. This Agreement applies and is effective at all times while you maintain a membership or access the Web Site.
2. The Service is not intended for users under the age of 13, and Company does not knowingly collect personally identifiable information from users under the age of 13 on the Website. Such users are expressly prohibited from submitting their personally identifiable information to us, and from using our forums and chat areas; any information submitted by such users will not knowingly be used, posted, or retained by us. 
3. You agree not to disrupt, overwhelm, attack, modify or interfere with the Service or its associated software, hardware and/or servers in any way, and you agree not to impede or interfere with others' use of the Service. You further agree not to alter or tamper with any information or materials on or associated with the Service. Other than connecting to Service Provider's servers by http requests using a Web browser, you may not attempt to gain access to Service Provider's servers by any means.
